Camil
Grupo Dajahu
Prismapar acted as the exclusive advisor in the sale of the rice and logistics assets of Grupo Dajahu S.A. in Ecuador to Brazilian Camil Alimentos S.A., one of the largest companies in the food sector in Latin America.
Prismapar participated in all stages of the USD $36 million transaction, from process planning, approach to potential buyers, negotiation of terms, transaction structure, coordination of due diligence process, including deal signing and closing.
Grupo Dajahu is one of the 500 largest organizations in Ecuador and operates in the Real Estate, Logistics and Food sectors. The company leads Ecuador’s rice market. The assets sold to Camil as part or this transaction were in line with Dajahu’s s strategy to focus resources on its Real Estate and Logistics division.
Advent International
Kroton
Prirsmapar advised Advent International Investment Fund in the acquisition of assets from Brazilian education networks Kroton Educacional and IUNI Educacional. The scope of Prismapar’s role included strategic, financial, and operational responsibilities.
Together with Advent, Prismapar developed a strategy to inorganically enter the Brazilian higher education market by building a strong platform for growth. Our firm mapped and assessed potential target, and supported the complete acquisitions process, from planning to closing. These transactions amounted to around USD $250 million.
The success of these deals gave rise to the largest higher-education group in Brazil and one of the world’s largest, Cogna Educacional, with around 2.4 million students.
FS Security
Verisoft
We advised the selling shareholders with exclusivity in the sale of 100% of Verisoft's capital to the FS Security Group.
Our work involved negotiating the financial bases, hiring a specialized legal advisors, coordinating the work and information flows of Due Diligence and negotiating the final contracts, up to the signing and closing of the deal. Verisoft is one of the leaders in the creation and development of products and digital content such as magazines, audiobooks, books, courses and magazines distributed by mobile operators via VAS (Value Added Services).
FS Security is one of the largest technology players focused on mobile applications in the country, with expertise in the development of security applications.
Galileu Global Education
UCIMED
Prismapar acted as the exclusive advisor to Galileo Global Education (GGE), Europe's largest group in private higher education.
Through its local network, the Prismapar team identified the opportunity aligned with GGE's strategic objectives and quality criteria for its expansion in the health sector in LATAM. Hand in hand with the client, UCIMED and its advisors, Prismapar has developed and negotiated the understandings and agreements of the transaction. UCIMED is a higher education institution that offers training in Medicine, Pharmacy, Physiotherapy and other specialties, recognized for its high-quality standards in Costa Rica and the region.
GGE has more than 200,000 students in more than 100 campuses around the world, always focused on teaching excellence.
With the transaction, GGE advances in its LATAM expansion. By joining the Galileo Global Education network, UCIMED lays the foundations to accelerate its development, respecting its heritage and its DNA.
CEREM
R'evolution Education Group
Prismapar acted as the exclusive advisor to the R'Evolution Education Group in the acquisition of the Spanish business school Cerem International Business School.
Prismapar's team was present at all stages of the transaction, from approaching the parties to final negotiations, supporting the client's management on its entry and expansion strategy outside Latin America. Cerem is a business school with more than 45 years as an academic institution and more than 200,000 graduates, with several master's courses in Spain and Latin America.
